This letter shall confirm the agreement between FILMBANKERS International (FBI) it’s partners, agents, owners, officers, employees, successors, licensees and assigns FBI and the submitter (“Owner”) with regard to the attached written material hereto (“Material”).

In consideration of FBI’s agreement to consider the Material as a project for consulting and/or financing and Owner hereby represents warrants agrees and understands that:

1.         FBI is under no obligation to read or use the Materials, nor is FBI under any obligation to pay Owner or compensate Owner in any way for submitting the Material to FBI.

2.         FBI’s employees and others may have or will submit or create materials similar or identical to the material and FBI may have the right to use such similar or identical materials without compensation to Owner. Owner agrees that nothing in this Material Submission Release Agreement or the fact of Owner’s submission of the Materials to FBI shall be deemed to create a confidential relationship between FBI and Owner.

3.         Subject to paragraph 2 above, in the event FBI decides to exploit the Materials, FBI and Owner shall negotiate all the terms and conditions related to such exploitation in good faith. In the event of any dispute as to whether FBI has so exploited the Materials or any other claims made by Owner in connection with this Submission Release Agreement, the parties shall submit such disputes or claims to arbitration in accordance with the rules of the American Arbitration Association and the results of such arbitration proceedings shall be conclusive and binding upon the parties. In no event shall Owner be entitled to, nor shall Owner demand, any compensation or any legal or equitable remedy other than the fair market value of the Materials at the time of this submission to FBI.

4.         Owner represents and warrants that it is the sole owner and author of the Materials, that they are original to Owner, that there are no outstanding claims relating to them, that Owner has the exclusive right to submit them to FBI upon the terms and conditions of this letter.

5.         Owner has retained a copy of the Materials, and FBI need not return the attached materials to Owner. If FBI decides not to use the Materials, it does not have to tell Owner the reasons for FBI’s rejection. If FBI asks Owner to develop the Materials or if FBI makes Owner an offer to purchase the Materials, and no agreement is reached, FBI’s making of such request or offer will not be deemed to mean that FBI thought the Materials were original or novel or that FBI thought Owner was the first to submit them to FBI.

This agreement shall constitute the entire understanding between and among the parties to it. Any modifications of this agreement must be in writing and initialed or executed on behalf of both parties, any other charges shall be considered null and void and of no effect. If any part of this agreement shall be declared void, the remainder shall remain in full force and effect.

THE PARTY HAS READ THIS AGREEMENT CAREFULLY AND UNDERSTANDS ITS CONTENTS.

I Accept the terms of this agreement set forth above.
I do not Accept the terms of this agreement set forth above.
